OVERVIEW:
We are recruiting for an Assistant Company Secretary for our client based in Farringdon, City of London.
This is a full time, <6 month contract with possibility extension.
JOB PURPOSE:
To provide efficient and professional company secretarial support across all of the Company Secretarial Department's activities, including in driving good governance across the Group.
PRINCIPAL ACCOUNTABILITIES:
- To implement and monitor compliance with global best practice policies and procedures
- Working with the Senior Assistant Company secretary, to ensure that appropriate governance and statutory compliance is maintained with a particular focus on overseas subsidiaries, including through:
- Developing and building strong collaborative relationships with the overseas contact network
- Advising colleagues on company law and governance best practice
- Providing support for routine governance approvals, such as annual accounts and board changes
- Ensuring the department's records are kept up to date
- Supporting an annual health check of all overseas entities
- Assisting with annual review of subsidiary board composition (recommending changes where necessary)
- Assisting with the roll-out of a global director's duties programme.
- To act as Secretary to certain executive committees within the Corporate Governance Framework, working with the Committee Chairs to agree agendas, issuing papers and minuting meetings
- To oversee the UK subsidiary Annual Accounts review and approval process
- Assisting with corporate restructurings and M&A transactions
- To support the Legal Entity Rationalisation programme in order to reduce the number of legal entities in the Group, ensuring the structure is fit for purpose
- To assist with AGM preparation
- To contribute to the Annual Report and Accounts process, including drafting certain sections of the Governance Report and Director's Report
- To assist with dividend management, including the timetable and shareholder documents.
- To respond to and resolve shareholder queries, including through working with the share registrar.
- To support adherence to best practice corporate governance, particularly in relation to the UK Corporate Governance
- To assist with the maintenance of the corporate governance framework, including terms of reference and company secretarial policy
- To assist with the ongoing maintenance of project confidential lists and manage permission to deal requests
- Drafting and assisting with RNS announcements and FCA filings
SCOPE:
- Work collaboratively within the department and with overseas
- Require a collaborative approach with other Group functions, including Legal, Ethics & Compliance, Accounts, Treasury, Tax, EHS, Risk and Internal Audit, HR and the Sectors
- Contribute to the development of the department as a recognised centre of excellence in governance across the Group
- Manage some external relationships, with a strong focus on ensuring consistently high service
- Have a working relationship with Board and GMC members
CANDIDATE SPECIFICATION:
- ICSA qualified
- Previous experience of working in an international environment with overseas subsidiaries
- Experience of working across multiple business units simultaneously
- A good understanding of current legislative, regulatory and best practice requirements
- Educated to degree level or equivalent
- Good working knowledge of Blueprint software (or similar)
- Good working knowledge of Diligent Boards (or similar)
